Public Offer

on the conclusion of a service agreement

This document is an official offer (public offer) of Silica Limited Liability Company (hereinafter referred to as the "Contractor", "Company") to enter into a service agreement with any individual or legal entity (hereinafter referred to as the "Customer", "User") on the terms set forth below.

In accordance with the legislation of the Kyrgyz Republic, payment for services means full and unconditional acceptance (acceptance) of this offer.

1. Subject of the offer

1.1. The Contractor provides the Customer with digital services, including but not limited to:

  • AI chatbots and automated assistants;
  • analytical dashboards and data visualization systems;
  • development of websites, landing pages and web platforms;
  • related digital and consulting services.

    • 1.2. Services are provided in electronic format, remotely, without signing paper documents.

    2. Acceptance of the offer

    2.1. The following are considered acceptance of this offer:

  • payment for services;
  • clicking the "Pay", "Order", "Continue" button;
  • use of services after publication of the offer.

    • 2.2. From the moment of acceptance, the offer is considered a contract concluded between the Contractor and the Customer.

    3. Cost of services and payment procedure

    3.1. The cost of services is indicated:

  • on the Contractor's website;
  • in commercial proposals;
  • in the interface of services or chatbots.

    • 3.2. Payment is made:

  • online (bank cards, transfers, payment systems);
  • in 100% prepayment, unless otherwise specified separately.

    • 3.3. The Contractor has the right to unilaterally change the cost of services without obligations on previously unpaid orders.

    4. Refunds and disclaimer of results

    4.1. The Contractor's services are intangible and digital in nature.

    4.2. Funds ARE NOT SUBJECT TO REFUND, except in cases directly provided by law.

    4.3. The Contractor DOES NOT GUARANTEE:

  • profit growth;
  • increase in sales;
  • conversions, leads, payback;
  • achievement of business results.

    • 4.4. The Customer understands and accepts that:

  • AI may make mistakes;
  • analytics may contain inaccuracies;
  • any decisions are made at their own risk.

    • 5. Artificial intelligence and analytics

    5.1. The Contractor's services may use AI, machine learning algorithms and automated analytics.

    5.2. All responses, reports, forecasts and recommendations:

  • are informational in nature;
  • are not financial, investment, legal or management advice.

    • 5.3. The Contractor is not liable for the consequences of using AI results.

    6. Limitation of liability

    6.1. The Contractor IS NOT LIABLE for:

  • direct and indirect losses;
  • lost profits;
  • loss of data, customers, reputation;
  • decisions of the Customer made on the basis of services;
  • actions of third parties and third-party services.

    • 6.2. Services are provided "AS IS".

    6.3. The Contractor's maximum liability in any case is limited to the amount of actually paid services.

    7. Websites and web development

    7.1. The Contractor is not responsible for:

  • content posted by the Customer;
  • compliance of the website with the requirements of specific platforms or advertising systems;
  • SEO, advertising, sales and user behavior.

    • 7.2. All business results of the website depend on the actions of the Customer.

    8. Intellectual property

    8.1. All exclusive rights to:

  • software code;
  • architecture;
  • AI logic;
  • templates and algorithms

    • belong to the Contractor, unless otherwise agreed in writing.

    9. Personal data

    9.1. Processing of personal data is carried out in accordance with the Silica LLC Privacy Policy.

    9.2. The Customer gives consent to data processing, including cross-border transfer.

    10. Termination of services

    10.1. The Contractor has the right to:

  • suspend the provision of services;
  • restrict access;
  • terminate the contract

without explanation, in the presence of legal or technical risks.

11. Changes to the offer

11.1. The Contractor has the right to unilaterally change this offer.

11.2. The new version comes into force from the moment of publication.

12. Applicable law and jurisdiction

12.1. This offer is governed by the legislation of the Kyrgyz Republic.

12.2. All disputes are subject to consideration in the courts of the Kyrgyz Republic.
